ION Marketplace Partner Program Terms & Conditions

1. Eligibility

To be eligible for the ION Marketplace Partner Program (“Program”), your organization must:

• Offer services or solutions relevant to manufacturing customers (e.g., ERP implementation, PLM integration, custom development, factory automation).
• Have a public website or verifiable portfolio of work.
• Complete the Marketplace application and be approved by First Resonance.

2. Approval and Participation

• Submission of an application does not guarantee acceptance.
• First Resonance reserves the right to approve or reject applicants at its sole discretion.
• Once approved, your company profile will be listed in the ION Marketplace.

3. Use of Name and Logo

• Approved partners may display the “ION Verified Partner” badge on their site and marketing materials.
• First Resonance may use your company’s name, logo, and brief description in ION Marketplace listings and promotional materials.
• You agree to grant First Resonance a non-exclusive, royalty-free license to do so.

4. Performance and Conduct

• Partners are expected to deliver high-quality work and maintain professional conduct with all customers engaged through the ION Marketplace.
• First Resonance reserves the right to remove partners from the ION Marketplace if complaints arise or if partner behavior negatively impacts the customer experience.

5. Confidentiality

• You may receive non-public information about First Resonance, the ION Marketplace, or customers you engage with through the ION Marketplace.
• You agree to treat such information as confidential and not share it without prior written consent from First Resonance.

6. No Guarantees

• Participation in the ION Marketplace does not guarantee customer referrals, project volume, or revenue.
• First Resonance makes no warranties about the performance or outcomes of being listed in the ION Marketplace.

7. Indemnity

You agree to indemnify and hold harmless First Resonance, its affiliates, officers, and employees from any claims, damages, or liabilities arising from your participation in the ION Marketplace or services you provide.

8. Termination

• You may request removal from the ION Marketplace at any time by emailing support@firstresonance.io.
• First Resonance may remove your listing from the ION Marketplace at any time with or without cause.

9. Modifications

First Resonance may update these terms from time to time. Continued participation in the ION Marketplace Partner Program constitutes agreement to the updated terms.
